Neo-Dyne B.V. — Terms & Conditions

These general terms and conditions ("Agreement") apply to all orders of GLS and GLP Cargo Loader systems ("Goods") placed via the Neo-Dyne webshop ("Store") and form the entire agreement between Neo-Dyne B.V. ("Company", "we", "us") and the customer ("Customer", "you", "your"). By placing an order, you agree to the following terms:
1. Order & Payment
1.1 Order Confirmation
An order is considered confirmed once the checkout process has been completed and a confirmation has been issued. You are responsible for providing accurate and complete billing and shipping information.
1.2 Payment Terms
All orders must be paid in full upfront using the payment methods provided in the Store. Order processing begins only after payment has been confirmed.
2. Shipping & Delivery
2.1 Delivery Term – DAP (Delivered at Place)
All shipments are made under the DAP Incoterm (Delivered at Place). Neo-Dyne B.V. arranges and pays for freight transport to the Customer’s specified delivery address worldwide.
Import duties, customs clearance charges, and destination taxes are NOT included and are the sole responsibility of the Customer. These may be required by local customs authorities before delivery is completed.
2.2 Shipping Costs
Shipping costs are not included in the product price. Costs are calculated based on:

Final weight and dimensions of the packaged Goods

Delivery destination

Selected shipping service
The total shipping cost will be quoted for Customer approval before payment.
2.3 Order Processing & Dispatch
Orders are prepared for shipment only after full payment has been confirmed. Processing time depends on product availability and current operational schedules.
2.4 Estimated Delivery
Delivery dates are indicative only and not guaranteed. Neo-Dyne is not liable for delays caused by shipping carriers, customs procedures, or external factors beyond our control. Delays do not entitle the Customer to compensation or cancellation of the purchase.
2.5 Transfer of Risk
Risk of loss, theft, or damage transfers to the Customer the moment the Goods leave our warehouse. From that point forward, the Customer bears full responsibility during transit.
2.6 Inspection & Claims
Upon delivery, the Customer must:

Inspect the Goods and packaging before signing any delivery documents

Clearly note visible damage on the carrier's Proof of Delivery (POD)

Notify Neo-Dyne in writing within 48 hours for any concealed damage
All transit damage claims must be filed with the carrier, as risk has passed upon warehouse departure.
2.7 Delivery Site Requirements
Due to the size and weight of the Goods, the Customer must ensure that the delivery site is:

Fully accessible to freight vehicles

Safe and suitable for unloading
If delivery cannot be completed due to site conditions caused by the Customer, any additional redelivery or storage fees incurred will be charged to the Customer.
3. Warranty, Returns & Liability
3.1 Warranty
Goods are covered by a 24-month warranty against manufacturing and material defects, as outlined in our Return & Refund Policy. Warranty does not cover damages resulting from misuse, incorrect installation, or transit.
3.2 Returns & Withdrawal Rights
Return rights (Right of Withdrawal) may not apply to custom-built or heavy-duty industrial Goods. All return requests must follow the procedures defined in our Return & Refund Policy.
3.3 Limitation of Liability
Our liability is limited to the value of the Goods up to the moment of dispatch. We are not liable for indirect or consequential damages, loss of profit, or delays beyond our control. Once the Goods have been handed to the carrier, any issues must be resolved between the Customer and the shipping provider.
4. Governing Law & Dispute Resolution
This Agreement is governed by Dutch law. Any disputes arising from or related to these terms shall be exclusively submitted to the competent courts in the Netherlands unless otherwise mutually agreed in writing.

Returns and Warranty
All return and warranty claims must comply with our dedicated Return & Refund Policy and are subject to approval. Unauthorized returns will not be accepted.
